1.About Delnotic and these Terms
These Terms & Conditions (the "Terms") govern your access to and use of the website at delnotic.com (the "Website") and, together with any applicable Engagement Document, the services provided by Delnotic Global LLC ("Delnotic", "we", "us" or "our").

By accessing the Website, requesting a proposal, booking a consultation, signing an Engagement Document or making a payment to Delnotic, you confirm that you have read, understood and agree to be bound by these Terms. If you are acting on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Website or our services.

The specific scope, deliverables, timelines and fees for any engagement are set out in the relevant Engagement Document. Content on the Website describes our capabilities generally and is not an offer capable of acceptance.
4.Nature of Our Role
In each engagement Delnotic acts either (a) as a service provider and adviser, (b) as agent or intermediary arranging a transaction between a seller and a buyer of Environmental Attributes, or (c) as principal, purchasing Environmental Attributes and reselling them to a Client. The applicable role is stated in the Engagement Document and invoice. Where Delnotic acts as intermediary, its remuneration (fee or commission) is disclosed in the Engagement Document.
What Delnotic is not. Delnotic is not a bank, money transmitter, payment processor, broker-dealer, investment adviser, commodity trading advisor, exchange or custodian. Delnotic does not accept deposits, hold or pool client money, provide escrow, offer or sell securities or investment contracts, operate a trading platform, or offer Environmental Attributes as financial investments.
Environmental Attributes supplied through Delnotic are intended for use by Clients in meeting their own sustainability, emissions-accounting, compliance or reporting objectives, including by retirement or redemption on the Client's behalf. Delnotic does not market Environmental Attributes on the basis of expected price appreciation or financial return.
Where Delnotic uses a Registry account held by a duly authorized registrant, participant or account holder, it does so under a written arrangement with that account holder and in accordance with the rules of the relevant Registry.
5.Client Onboarding, KYC and AML
Delnotic maintains know-your-customer ("KYC") and anti-money-laundering ("AML") procedures proportionate to the risks of the environmental markets. Before accepting an engagement or completing any Environmental Commodity Transaction, and periodically thereafter, we may require:
- certificate of incorporation or registration, constitutional documents and proof of registered address;
- identification of directors, authorized signatories and ultimate beneficial owners holding 25% or more (or exercising control);
- government-issued identification for those individuals;
- evidence of the legal ownership of, and the right to sell, any Environmental Attributes or underlying project ("chain of title" and carbon-rights evidence);
- information on the source of funds and the intended use of Environmental Attributes (including the beneficiary for retirement); and
- any other information reasonably required by Applicable Law, a Registry, our bank or our compliance procedures.
All Clients and counterparties are screened against applicable sanctions and watch lists. We may decline, delay or terminate any engagement or transaction if we cannot complete due diligence to our satisfaction, if information provided is false, incomplete or inconsistent, or if we suspect that a transaction may involve money laundering, terrorist financing, fraud, tax evasion, sanctions evasion or any other unlawful activity. Where required or permitted by law, we may report suspicious activity to the competent authorities without notice to you.
You agree to provide accurate and complete information and to notify us promptly of any change in ownership, control, authorized signatories or sanctions status.
6.Sanctions and Prohibited Activities
Delnotic complies with the economic sanctions and export-control laws administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC) and the U.S. Department of Commerce, as well as applicable United Nations, European Union, United Kingdom and Bangladesh sanctions. You represent and warrant that neither you nor any of your owners, directors, officers or agents:
- is a person named on, or owned 50% or more or controlled by persons named on, any sanctions list, including OFAC's Specially Designated Nationals and Blocked Persons List;
- is located, organized or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions; or
- will use our services or any Environmental Attribute for the benefit of any such person, country or territory.
Prohibited activities
You may not use the Website or our services to:
- sell, transfer or claim Environmental Attributes you do not lawfully own or are not authorized to sell;
- sell or claim the same environmental benefit more than once (double issuance, double selling or double claiming), or resell an Environmental Attribute that has been retired, redeemed or cancelled;
- submit falsified generation, monitoring, emissions or ownership data to us, a validation or verification body, or a Registry;
- make, or have us make, payments through third parties, shell entities, cash, cryptocurrency or channels intended to conceal the origin or destination of funds;
- structure transactions to avoid reporting or screening requirements;
- market Environmental Attributes to consumers or retail investors as investments, or make misleading environmental claims ("greenwashing"); or
- otherwise breach Applicable Law.
7.Engagements and Order of Precedence
Services are provided only under an Engagement Document accepted by both parties in writing (including by email or electronic signature). Consultations booked through the Website are introductory and do not create a client relationship or any obligation to engage.
If there is a conflict between these Terms and a signed Engagement Document, the signed Engagement Document prevails for that engagement, followed by these Terms. Any terms in a Client's purchase order or standard terms do not apply unless expressly accepted by Delnotic in writing.
Delnotic will perform services with reasonable skill, care and diligence consistent with recognized industry practice. Timelines are good-faith estimates and may depend on Client inputs, independent auditors, Registries and government authorities outside our control.
8.Fees, Invoicing and Payment
Fees may be structured as fixed fees, milestone payments, retainers, success-based fees linked to registration or issuance, per-unit prices for Environmental Attributes, or commissions, as set out in the Engagement Document. All prices are stated in United States dollars (USD) unless otherwise agreed in writing.
- Invoices. Delnotic issues written invoices identifying Delnotic Global LLC, the Client, the services or Units supplied, quantities, prices and payment instructions.
- Payment method. Payment is accepted only by bank transfer (wire or ACH) to a bank account held in the name of Delnotic Global LLC, as stated on the invoice. We do not accept cash, cryptocurrency, money orders, or payments from parties other than the invoiced Client unless approved in advance in writing following due diligence.
- Payment terms. Unless the invoice states otherwise, invoices are payable within fifteen (15) days of the invoice date. For Environmental Commodity Transactions, payment is generally due before transfer or retirement of Units.
- Third-party costs. Registry fees, validation and verification body fees, government fees and similar pass-through costs are charged at cost or as stated in the Engagement Document.
- Taxes and charges. Fees exclude taxes, duties and bank charges. Each party bears its own bank charges. If the Client is required by law to withhold tax, the Client will provide official evidence of the withholding and, unless otherwise agreed, gross up the payment so that Delnotic receives the invoiced amount.
- Late payment. Overdue amounts may accrue interest at 1% per month or the maximum rate permitted by law, whichever is lower, and Delnotic may suspend work or withhold delivery of Units until payment is received.
9.Payment Security and Fraud Prevention
Important. Delnotic will never ask you to pay into a personal account or an account held in any name other than Delnotic Global LLC, and will never change its bank details by email alone. If you receive a request to change payment details, or any payment instruction that appears unusual, do not pay. Verify it first by calling +1 914 520 5825 or writing to business@delnotic.com.
Delnotic is not responsible for losses arising from payments made to accounts other than those stated on a genuine Delnotic invoice, where the Client did not follow the verification step above. Communications from Delnotic are sent only from addresses on the @delnotic.com domain.
10.Environmental Commodity Transactions
10.1 Specification
Each transaction specifies the type of Unit, Registry, project or generating device, standard and methodology, vintage, country, quantity, price, delivery method (transfer to the Client's Registry account, or retirement/redemption on the Client's behalf) and delivery date.
10.2 Delivery, title and risk
Delivery occurs when the Units are transferred into the Client's designated Registry account, or retired or redeemed in the Registry naming the Client (or its designated beneficiary) as beneficiary. Title and risk pass to the Client on delivery, and only after Delnotic has received payment in full in cleared funds unless otherwise agreed in writing. Delnotic will provide evidence of delivery, such as a Registry transfer confirmation, retirement or redemption statement, or certificate.
10.3 Retirement is final
Retirements, redemptions and cancellations in a Registry are permanent and cannot be reversed. You are responsible for confirming the beneficiary name, reporting period, consumption location and purpose details before you instruct retirement or redemption.
10.4 Delnotic's warranties
Where Delnotic sells Units as principal, it warrants that at delivery (a) it has good title to, or the right to transfer, the Units; (b) the Units are free of liens and encumbrances; and (c) to its knowledge, the Units have not been previously sold, retired or claimed by any other person. Where Delnotic acts as intermediary, these warranties are given by the seller under the relevant transaction document, and Delnotic will use reasonable efforts to verify them through due diligence.
10.5 Invalidation
If a delivered Unit is cancelled, invalidated or reversed by the Registry for reasons that existed at delivery and are not attributable to the Client, Delnotic will, at its option, replace it with an equivalent Unit or refund the price paid for that Unit. This is the Client's sole remedy for invalidation unless the Engagement Document provides otherwise.
10.6 Registry rules
All transactions are subject to the rules, terms of use and procedures of the relevant Registry and standard, which prevail in case of conflict regarding the issuance, transfer or retirement of Units.
11.Refunds and Cancellations
- Advisory and development services. Fees for work performed or milestones achieved are non-refundable. If an engagement is cancelled before work begins, prepaid fees are refunded less any costs already incurred and third-party fees already paid.
- Third-party fees. Registry, auditor and government fees paid on the Client's behalf are non-refundable once paid, unless refunded to Delnotic by the third party.
- Environmental Attributes. Once Units are delivered, transferred or retired, the transaction cannot be cancelled. If Delnotic is unable to deliver Units by the agreed delivery date (as extended by any agreed cure period), the Client may cancel the undelivered quantity and receive a refund of amounts paid for that quantity.
- Refund method. Refunds are made only by bank transfer to the originating bank account from which payment was received, normally within fourteen (14) business days of the refund being agreed.
- Payment disputes. Please contact us before initiating any payment recall or reversal so that we can resolve the matter promptly.
12.Client Responsibilities and Environmental Claims
You are responsible for the accuracy and completeness of all data, documents and information you supply, including metering and generation data, activity data, emissions data and evidence of ownership. Our deliverables rely on that information.
You are solely responsible for the environmental, sustainability and marketing claims you make in reliance on our services or Units, and for ensuring those claims comply with Applicable Law and recognized guidance (including the GHG Protocol, the rules of the relevant standard, and consumer-protection rules on environmental marketing such as the U.S. Federal Trade Commission's Green Guides). Delnotic may provide guidance on credible claims but does not make claims on your behalf.
13.Registry, Regulatory and Market Risk
Project registration, issuance, host-country authorization, corresponding adjustments, CORSIA eligibility and Registry decisions are made by independent third parties, including validation and verification bodies, standard-setters, Registries and governments. Delnotic does not control and cannot guarantee these outcomes, the number of Units ultimately issued, the timing of issuance, future market prices, or the acceptance of any Unit by a particular buyer, scheme or reporting framework.
Environmental markets and their rules change frequently. Any estimates of credit volumes, revenues or prices we provide are indicative only and based on information available at the time.
14.No Financial, Investment, Legal or Tax Advice
Information on the Website, including articles and insights, is provided for general information only. Nothing on the Website or in our services constitutes investment, financial, securities, legal, accounting or tax advice, or an offer or solicitation to buy or sell any security or financial instrument. You should obtain independent professional advice before making decisions.
15.Anti-Bribery and Ethical Conduct
Delnotic prohibits bribery and corruption in all forms. Each party shall comply with applicable anti-corruption laws, including the U.S. Foreign Corrupt Practices Act, the UK Bribery Act 2010 where applicable, and the anti-corruption laws of Bangladesh. Neither party shall offer, give, request or accept any improper payment or advantage, including to any government official, in connection with registration, authorization or any other part of our services. Delnotic does not make facilitation payments.
We expect projects we support to respect applicable environmental and social safeguards, labor rights and the rights of local communities, and we may decline projects that do not.
16.Confidentiality
Each party will keep confidential the other party's non-public business, technical and commercial information received in connection with an engagement, use it only to perform or receive the services, and disclose it only to personnel and advisers who need to know it and are bound by confidentiality. This does not apply to information that is public through no fault of the receiving party, already known to it, independently developed, or required to be disclosed by law, regulation, a Registry, a bank or a competent authority. Registry records of issuance, transfer and retirement may be publicly visible under Registry rules.
17.Intellectual Property
The Website and its content, including text, graphics, logos, the Delnotic name and brand, methodologies, templates and tools, are owned by or licensed to Delnotic and protected by intellectual property laws. You may view and print Website content for your internal, non-commercial reference only.
Unless an Engagement Document states otherwise, on full payment the Client receives a non-exclusive, perpetual licence to use the final deliverables prepared for it for its internal business and reporting purposes. Delnotic retains ownership of its pre-existing materials, know-how, tools and templates. Names and marks of Registries and standards (such as I-REC, Verra, VCS, Gold Standard and RE100) belong to their respective owners; references to them do not imply endorsement.
18.Use of the Website
You agree not to: use the Website for any unlawful purpose; attempt to gain unauthorized access to the Website or its systems; introduce malware; scrape or harvest data by automated means; impersonate Delnotic or any other person; or use Delnotic's name, logo or content to solicit payments or transactions. The Website is intended for business users and is not directed at individuals under 18.
19.Third-Party Links and Services
The Website links to third-party websites and services, including Registries and standards bodies, our scheduling provider (Calendly) and social media. These are provided for convenience; Delnotic does not control and is not responsible for their content, availability or privacy practices, and your use of them is subject to their own terms.
20.Disclaimers
Except as expressly stated in these Terms or a signed Engagement Document, the Website and its content are provided "as is" and "as available", and Delnotic disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law. Delnotic does not warrant that the Website will be uninterrupted, error-free or free of harmful components.
21.Limitation of Liability
To the maximum extent permitted by law: (a) Delnotic shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business, goodwill or data; and (b) Delnotic's total aggregate liability arising out of or relating to any engagement or transaction shall not exceed the fees or price actually paid to Delnotic under the relevant Engagement Document in the twelve (12) months preceding the event giving rise to the claim. For use of the Website alone, Delnotic's total liability shall not exceed one hundred US dollars (USD 100).
Nothing in these Terms limits liability for fraud, wilful misconduct, gross negligence, or any liability that cannot be excluded or capped under Applicable Law.
22.Indemnification
You agree to indemnify and hold harmless Delnotic and its directors, officers, employees and agents from claims, losses, penalties and reasonable costs (including legal fees) arising from: your breach of these Terms or Applicable Law; inaccurate or misleading information or data you supply; your environmental claims; or your breach of the sanctions, AML or anti-bribery provisions of these Terms.
23.Force Majeure
Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, epidemics, war, civil unrest, government action, sanctions, Registry suspensions or outages, changes in Registry or standard rules, failures of banking or telecommunications systems, or strikes. The affected party will notify the other promptly and use reasonable efforts to mitigate.
24.Suspension and Termination
Either party may terminate an engagement as provided in the Engagement Document, or immediately by written notice if the other party materially breaches these Terms and fails to remedy the breach within thirty (30) days of notice, or becomes insolvent. Delnotic may suspend or terminate any engagement or transaction immediately, without liability, where required to comply with Applicable Law, sanctions, a Registry or a request from our bank or a competent authority, or where we reasonably suspect fraud or unlawful activity. On termination, the Client pays for services performed and costs incurred up to the termination date. Sections that by their nature should survive termination will survive.
25.Governing Law and Disputes
These Terms and any dispute arising from them or from the use of the Website are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
The parties will first try to resolve any dispute through good-faith negotiation between senior representatives for thirty (30) days after written notice. If unresolved, the dispute shall be submitted to the exclusive jurisdiction of the state and federal courts located in the State of Wyoming, unless the relevant Engagement Document provides for arbitration or another forum, in which case that provision governs. Either party may seek urgent injunctive relief in any competent court.
26.Electronic Communications and Records
You consent to receive communications, notices, invoices and documents from Delnotic electronically, and agree that electronic signatures and records have the same effect as signed paper originals to the extent permitted by law. Delnotic retains transaction, due-diligence and correspondence records for at least five (5) years after the end of a business relationship, or longer where required by law.
27.Privacy
Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms.
28.Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date and applies from that date. Changes do not affect Engagement Documents already signed, unless both parties agree in writing.
29.General Provisions
- Entire agreement. These Terms, the Privacy Policy and any Engagement Document form the entire agreement between the parties on their subject matter.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
- No waiver. Failure to enforce any right is not a waiver of that right.
- Assignment. You may not assign or transfer your rights or obligations without our prior written consent. We may assign to an affiliate or a successor to our business on notice.
- Independent contractors. The parties are independent contractors; nothing creates a partnership, joint venture, employment or fiduciary relationship.
- Language. These Terms are written in English. If translated, the English version prevails.
